Terms and Conditions

Effective date: October 19, 2026 · Last updated: October 19, 2026

These Terms and Conditions ("Terms") govern your access to and use of the website at cognesity.ai and any related web pages, content, and features (collectively, the "Website"), operated by Cognesity, Inc. ("Cognesity," "we," "us," or "our"). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

1. About Cognesity
Cognesity provides an AI voice-based platform ("Cogni" or the "Platform") that supports healthcare providers in delivering continuous, between-visit care to patients, including those receiving obesity and cardiometabolic treatment. The Website provides general information about Cognesity and its products and lets visitors learn about, request demonstrations of, and contact us regarding our services.

2. Not Medical Advice
The Website, and any content, demonstration, or recorded material made available through it, is provided for general informational purposes only and does not constitute medical advice, diagnosis, or treatment. Nothing on the Website creates a doctor–patient relationship. The Platform is a communication and triage-support tool used by or on behalf of licensed healthcare providers; it does not diagnose conditions, prescribe or adjust medication, or provide emergency services. Always seek the advice of a qualified healthcare professional with any questions regarding a medical condition, and never disregard professional medical advice because of something accessed on the Website. If you are experiencing a medical emergency, call your local emergency number immediately.

3. Business Services Are Governed Separately
Access to and use of the Cogni Platform by healthcare providers, clinics, and other organizations is governed by separate written agreements between Cognesity and the applicable organization (for example, a pilot agreement, a subscription or services agreement, and, where applicable, a Business Associate Agreement). These Terms govern only your use of the Website and grant no right to use the Platform. If these Terms conflict with a signed services agreement with respect to the Platform, the signed agreement controls.

4. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Website. By using the Website, you represent and warrant that you meet these requirements.

5. Acceptable Use
You agree not to: (a) use the Website for any unlawful purpose or in violation of these Terms; (b) attempt to gain unauthorized access to the Website, its servers, or related systems; (c) interfere with or disrupt the integrity or performance of the Website; (d) introduce any viruses, malware, or harmful code; (e) scrape, harvest, or collect information about other users; or (f) use the Website to transmit unsolicited communications. We may suspend or terminate your access to the Website at any time, including for suspected violation of these Terms.

6. Intellectual Property
The Website and all content, features, and functionality — including text, graphics, logos, trademarks, the "Cognesity" and "Cogni" names and marks, software, and their design and arrangement — are owned by Cognesity or its licensors and are protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal or internal business informational purposes. You may not copy, reproduce, modify, distribute, or create derivative works from the Website without our prior written consent.

7. Submissions and Communications
If you submit information through the Website (for example, by completing a contact or demo-request form, scheduling a meeting, or emailing us), you represent that the information is accurate and that you are authorized to provide it. By contacting us or requesting a demonstration, you agree that we may communicate with you by email, phone, or other means regarding your inquiry and our services, consistent with our Privacy Policy and applicable law. Do not submit any patient-identifiable health information through the Website.

8. Third-Party Links and Services
The Website may link to or integrate third-party websites and services (for example, scheduling tools, video-hosting platforms, and analytics providers). We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and privacy policies.

9. Disclaimer of Warranties
THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE OR COMPLETE.

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNESITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE WEBSITE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification
You agree to indemnify and hold harmless Cognesity and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Website or your violation of these Terms.

12. Privacy
Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect and use information.

13. Changes to the Website and These Terms
We may modify the Website or these Terms at any time. When we make material changes, we will update the "Last updated" date above. Your continued use of the Website after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Website will be subject to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction there.
